SPC Global, an Australian food giant, has initiated a reverse takeover of the listed drinks producer, The Original Juice Company (ASX: OJC), as part of a $342 million three-way merger that also involves Nature One Dairy. This strategic move is aimed at expanding SPC’s footprint globally, especially in key international markets like Asia.
The deal, which gives SPC Global a 69.2% stake in the newly formed entity, will create a company with projected revenues of over $400 million and EBITDA exceeding $29 million by FY25. The merger promises operational synergies and diversification, propelling growth for all involved brands.
SPC Global, originally founded in 1917 as a farmers' cooperative in Shepparton, continues its transformation following its 2019 acquisition from Coca-Cola Amatil. This merger, which also involves a consolidation of OJC shares and the acquisition of Nature One Dairy, signals a new phase of expansion as SPC looks to strengthen its position in both domestic and international markets.
