DSM-Firmenich will split division into Noviwest and Panavora
DSM-Firmenich is preparing to establish two businesses from its Animal Nutrition & Health division as part of the planned transaction with CVC Capital Partners. Noviwest will cover ingredients, while Panavora will focus on animal nutrition and health solutions. Each company is intended to operate with its own management team and strategy.
Noviwest will supply ingredients to the food and animal-feed industries. Its activities will include vitamins, carotenoids and flavour components, together with their applications in the relevant markets. Silvia Sonneveld, who currently heads DSM-Firmenich’s vitamin division, is expected to become Noviwest’s chief executive.
Panavora will bring together products and services for animal production. Its portfolio is to include premixes, feed additives and services for livestock farming, alongside animal-nutrition and animal-health activities. Ivo Lansbergen, currently responsible for the animal-feed division, is set to lead the new company.
Although the businesses will be separately managed, Noviwest and Panavora plan to continue working together in selected areas. DSM-Firmenich has not specified the scope of that cooperation. The new structure will therefore divide the operations by business focus while preserving some shared activities.
CVC and DSM-Firmenich announced the sale agreement in February 2026. The transaction has an enterprise value of €2.2bn, with a possible additional payment of up to €500m. The division recorded about €3.5bn in revenue in 2025 and had approximately 8,000 employees, according to the transaction details.
DSM-Firmenich is due to retain a 20% interest in each company after completion. The closing of the transaction is expected by the end of 2026, subject to regulatory approval and other conditions. Until then, the division remains within DSM-Firmenich and the separation is part of the proposed sale rather than a completed transfer.
The restructuring forms part of DSM-Firmenich’s plan to divest the Animal Nutrition & Health division and place greater emphasis on its remaining fragrance, taste, nutrition and health businesses. Once the transaction is completed, Noviwest will be responsible for the ingredient activities, while Panavora will serve the animal-nutrition, animal-health and livestock-farming markets.
