Ausnutria Dairy Secures Full Ownership of Amalthea Goat’s Cheese Business in Strategic Expansion

Ausnutria Dairy Corp. is set to fully acquire the Netherlands-based organic goat’s cheese cooperative, Amalthea. This follows the exercise of a put option to purchase the remaining 50% share of Amalthea for €22.1m, as disclosed in a recent filing with the Hong Kong Stock Exchange.
In 2022, Ausnutria Dairy initially acquired a 50% stake in Amalthea for EUR18.4m ($18.3m at the time). The latest acquisition is based on a normalised EBITDA multiple of 8.5 times, equating to approximately €4.6m minus debt. The agreement for the remaining shares was made with Dairy Goat Holding (DGH).
Ausnutria Dairy, headquartered in Zwolle, Netherlands, and listed on the Hong Kong Stock Exchange, primarily serves the Chinese market. The company operates five production plants in the Netherlands and owns the Kabrita goat’s milk infant-nutrition brand. This acquisition aligns with Ausnutria's strategic expansion and strengthens its foothold in the European dairy market.
The transaction is pending relevant competition approvals, clearance by China’s commerce ministry, and ratification by the country’s reform commission.
Amalthea, based in Haansberg, is known for its CleardMilk trademark used in producing its branded goat’s cheese, cow’s cheese, and private-label dairy products like yogurt.
In a related move, Ausnutria Dairy sold its 60% stake in the New Zealand-based Pure Nutrition venture to Westland Milk Products for NZ$31.1m ($19m). Westland Milk, owned by China’s largest dairy firm, Inner Mongolia Yili Industrial Group (Yili), since 2019, now fully owns the Pure Nutrition venture, which was established to produce baby milk powder, follow-up formula, and nutrition products for children and adults.
